Terms of Service — NijiSoft

By hiring NijiSoft for web development and related services, you agree to the following terms and conditions. Please review them carefully before engaging our services.

1. Service Scope

  • Services provided will be clearly outlined in a written proposal or agreement.
  • Any additional services or requests beyond the agreed scope may incur extra charges.
  • NijiSoft reserves the right to update timelines or pricing if the project scope changes significantly.

2. Payments

  • Pricing, payment schedules, and methods will be stated in your proposal or invoice.
  • A 50% deposit is typically required to begin work, with the remaining balance due upon project completion and before launch.
  • Late payments may result in suspension of services or project delays.
  • Deposits are non-refundable once work has started.

3. Domains, Hosting & SSL

  • NijiSoft provides a free domain for one year on standard extensions (.com, .ca). Renewal after the first year will be billed at cost.
  • SSL certificates (HTTPS) are provided free of charge through modern hosting providers.
  • Hosting is not included in project pricing. Clients may use their own hosting or request a managed hosting plan (available as an add-on).
  • NijiSoft is not responsible for downtime, loss, or performance issues caused by third-party hosting providers.

4. Intellectual Property

  • Upon full payment, you own all rights to the website design, code, and assets created for your project.
  • Third-party components (e.g., fonts, stock images, plugins, or open-source code) remain subject to their original licenses.
  • NijiSoft retains the right to display completed projects in our portfolio and marketing materials unless otherwise agreed.

5. Content

  • You are responsible for providing accurate, legal, and licensed content (text, images, videos, etc.).
  • NijiSoft is not liable for any content supplied by the client or for legal issues arising from unlicensed materials.

6. Revisions

  • The number of included revisions will be specified in your proposal.
  • Additional revisions or major changes requested after approval may incur extra costs.

7. Warranties & Liability

  • NijiSoft makes every reasonable effort to deliver high-quality, functional websites.
  • However, we cannot guarantee that the website will be completely free of bugs, errors, or security vulnerabilities.
  • NijiSoft is not liable for indirect, incidental, or consequential damages, including lost revenue, downtime, or data loss.

8. Support & Maintenance

  • Post-launch maintenance, updates, and technical support are available through a separate maintenance plan or billed hourly.
  • NijiSoft is not obligated to provide ongoing support after project completion unless specified in your plan.

9. Termination

  • Either party may terminate a project with reasonable written notice.
  • If terminated after work has begun, the client will be invoiced for completed work up to that date.
  • Refunds (if any) are governed by NijiSoft's Refund Policy.

10. Privacy & Confidentiality

  • All client information shared with NijiSoft is treated as confidential and will not be disclosed to third parties without written consent.
  • Client data is handled according to our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of British Columbia, Canada, and any disputes will be handled in the courts of that jurisdiction.

12. Acceptance of Terms

By engaging our services, signing a proposal, or paying an invoice, you confirm that you have read, understood, and agree to these Terms of Service.
